Terms of Service
These Terms of Service govern your relationship with Thrive IT Solutions, covering custom software engineering agreements, intellectual property ownership, milestone payments, and proprietary software licenses.
01.Agreement & Definitions
By accessing our website, commissioning a custom development project, or downloading our proprietary software applications, you agree to be bound by these Terms of Service.
Throughout these Terms, "Client" refers to any individual or corporate entity entering into a development agreement with Thrive IT Solutions. "Services" refers to custom web, mobile, AI, and cloud consulting provided by us. "Products" refers to our proprietary SaaS and desktop/mobile applications (LedgerBuddy, OrderBuddy, Equa).
100% Intellectual Property & Source Code Ownership
For bespoke software and custom website development projects, upon final milestone settlement and full invoice payment:
- Complete Code Repositories: Full transfer of Git repositories, production build scripts, and environment deployment configs.
- Bespoke Design Assets: Full ownership of custom Figma UI/UX wireframes, illustrations, and graphic assets created for your brand.
- Database Schema & Content: Complete ownership of your data schemas, migration files, and database records.
- Zero Vendor Lock-in: You have the absolute right to host, modify, or extend the codebase independently or with any third-party engineering team.
02.Project Milestones, Deliverables & Payment Terms
Custom engineering contracts follow structured, transparent milestone releases:
- Kickoff Advance (30%): Covers initial architecture discovery, database modeling, and frontend design prototypes.
- Staging Demonstration (40%): Invoiced upon demonstrating core feature parity on a private staging server.
- Final Handover (30%): Invoiced upon production DNS deployment, team training, and complete source code repository transfer.
Invoices are payable in Bangladeshi Taka (BDT) via official bank transfer, bKash Merchant, or in USD via international wire transfer for overseas clients.
03.Proprietary Software Licensing (SaaS)
For proprietary software published by Thrive IT Solutions:
- LedgerBuddy: Subscriptions grant a non-exclusive, non-transferable license to operate the POS and khata accounting software across authorized devices. Lifetime licenses apply to the specified desktop device.
- OrderBuddy: Plans are billed on a recurring monthly or annual basis, scaled by monthly parcel dispatch volume.
- Equa: Distributed as an offline-first double-entry finance application subject to Microsoft Store and Google Play standard app licenses.
04.Warranty & Post-Launch Support
All custom engineering deliveries include a 30 to 90-day complimentary warranty period starting on the date of production launch. During this period, any software defects, runtime bugs, or deviations from the agreed scope specification will be remediated at zero additional charge.
Scope expansions, new feature requests, or modifications necessitated by third-party API changes (e.g. courier or payment gateway protocol alterations) are quoted separately under an ongoing SLA support agreement.
05.Limitation of Liability & Governing Law
To the maximum extent permitted by applicable law, Thrive IT Solutions shall not be liable for indirect, incidental, or consequential damages arising from server hosting downtime, third-party gateway interruptions, or loss of business data.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh.
